Chapter 13 - THE CORPORATE RESTRUCTURING

With the board of directors in absolute shambles and the family patriarch behind bars, Sterling Wineries faced immediate financial extinction. Share prices plummeted ninety percent in forty-eight hours. Distributors were canceling contracts across the country.
At 2:00 PM on Thursday, an emergency shareholder meeting was convened at the winery’s corporate headquarters in St. Helena.
The remaining board members—a group of terrified minority investors—sat around the glass conference table, staring at financial reports that showed imminent bankruptcy.
The double doors opened. I walked into the room, flanked by Marcus Vance and two senior forensic accountants.
"Who invited her?" one board member gasped. "Claire, this is a private board meeting!"
Marcus set a thick binder onto the center of the glass table. "Mrs. Sterling holds a thirty-four percent equity stake in Sterling Wineries as of one hour ago."
Gasps echoed around the room.
"That's impossible!" another director shouted. "The family owns eighty percent!"
"The family pledged forty-five percent of their shares as collateral for a private loan from Vance Capital three years ago," Marcus explained calmly. "Due to the breach of contract caused by Charles Sterling’s felony arrest, that loan was called due this morning. My firm foreclosed on the shares and transferred ownership directly to Mrs. Claire Sterling."
I stepped up to the head of the table—the very chair Charles Sterling had occupied for thirty years. I didn't sit down. I leaned forward, resting my hands on the leather backrest.
"As the majority shareholder, I am exercising my legal right to call an immediate vote of no confidence against the current executive board," I announced, my voice cutting through the panic like a blade.
"You can't do this, Claire!" a loyalist director yelled. "You know nothing about running a winery!"
"I have a master's degree in corporate strategy from Stanford and ten years of executive restructuring experience," I replied coldly. "Whereas you and Charles have managed to bankrupt a premier Napa estate while committing federal tax fraud."

"The vote is carried," I said flatly. "Effective immediately, the board is dissolved. Sterling Wineries will undergo complete chapter eleven reorganization under my direct authority. Anyone who attempts to obstruct this transition will be reported to the federal prosecutors currently auditing the basement ledgers."
Not a single person said a word. Three directors quietly packed their briefcases and left the room.
